Corporate Paralegal

Overview of Role:

We are seeking a proactive and detail-oriented Corporate Paralegal to join our quickly growing team at a publicly traded company. This role provides support across corporate governance, securities compliance, contracting, and other general corporate matters. In addition, they will contribute to ongoing process improvements and best practices.

This role is based at our Menlo Park/Palo Alto office and will work onsite Monday – Thursday, with the option to work remote on Friday.

Role and Responsibilities:

  • Support the Legal Department in connection with regulatory and SEC reporting, board meetings, corporate governance, strategic transactions, due diligence, subsidiary/affiliate corporate management, litigation matters, and other matters as needed
  • Maintain corporate records and filings of both U.S. and non-U.S. entities, including director and officer information
  • Assist with board meeting matters, including preparation of materials, managing and updating the board portal system for secure, electronic delivery of board materials
  • Prepare, review, revise and format contracts, agreements, and other documents, including proofreading, tracking changes between drafts, and identifying inconsistencies
  • Work with attorneys to circulate agreements for signature, insert fully executed agreements into CLM, and follow up on status
  • Maintain and update a library of pre-approved form documents, contract clauses, templates, and historical documents, and add or revise material as necessary
  • Initiate agreements on approved templates and review revisions/redlines against approved legal language
  • Identify key potential risks in existing and proposed contracts and escalate to appropriate internal stakeholders for input and resolution
  • Provide timely and accurate responses to contract-related inquiries from internal stakeholders
  • Provide active assistance to business teams in the management, execution, and resolution of issues related to contract/project management
  • Develop and maintain effective and professional business relationships with internal stakeholders and third parties
  • Closely collaborate with project teams and business operations departments
  • Handle miscellaneous legal tasks or special assignments on an as-needed basis
  • All other duties as assigned

Experience, Education and Specialized Knowledge and Skills:

  • Bachelor’s Degree, Paralegal Certificate or equivalent experience
  • Minimum of 6+ years of experience as a corporate paralegal, at a top-tier law firm and/or in-house at a public multinational company
  • Experience and in-depth knowledge of general legal concepts, terminology and principles related to U.S. public company reporting, including Section 16 reports and other types of SEC filings; legal entity formation and ongoing compliance, including charter documents, minutes, resolutions and annual filing requirements in the U.S. and internationally
  • Experience in contract management, including use and management of CLM system and quality control review of form contracts such as NDAs, amendments and termination letters
  • Strong legal writing, communication, and organizational skills.
  • Proven ability to manage multiple priorities and deadlines with precision and professionalism
  • Proficiency in Microsoft Office 365, including Word, Excel, Adobe and Teams
  • Strong interpersonal skills including a strong sense of being a team player
  • Self-starter with the ability to work independently as well as collaboratively in a team environment
  • Must be flexible due to rapidly changing business environment for a growth company

The pay range for this role is $120,000-$135,000 annually. Actual compensation packages are based on several factors that are unique to each candidate, including but not limited to skill set, depth of experience, certifications, and specific work location. This may be different in other locations due to differences in the cost of labor. The total compensation package for this position may also include bonus, stock, benefits and/or other applicable variable compensation.
